Acceptance of terms

By accessing this website, submitting an enquiry, approving a proposal, or engaging DigiBangali for services, you agree to these Terms and Conditions together with any project proposal, quotation, statement of work, or written agreement provided to you.

If a signed project agreement conflicts with these terms, the signed agreement will apply to the extent of that conflict.

Services and project scope

DigiBangali provides services including digital marketing, graphic design, UI/UX design, web development, branding, and related creative or technical support.

• The exact deliverables, schedule, fees, and revision limits will be defined in the approved proposal or project agreement.
• Requests outside the agreed scope may require additional time and fees.
• Timelines are estimates unless a specific deadline is confirmed in writing.

Client responsibilities

To help us deliver the project effectively, you agree to provide accurate information, required content, brand assets, access credentials, feedback, and approvals within a reasonable time.

You are responsible for ensuring that materials supplied to us may legally be used and do not infringe another party's rights. Delays in receiving required information or approvals may affect the project schedule.

Fees and payments

Fees, payment stages, taxes, and due dates will be stated in the relevant proposal or invoice. Unless otherwise agreed in writing:

• Work may begin only after the required advance payment is received.
• Invoices must be paid by their stated due date.
• Final files, website transfer, or launch may be withheld until all outstanding amounts are paid.
• Third-party costs such as hosting, domains, advertising spend, licences, and paid assets are separate unless expressly included.

Intellectual property

Once full payment has been received, you will receive the rights to the final approved deliverables specified in the project agreement. DigiBangali retains ownership of unused concepts, drafts, internal methods, reusable components, tools, and pre-existing materials.

Unless confidentiality has been agreed in writing, DigiBangali may display completed work in its portfolio, website, social media, proposals, or promotional material. Any third-party assets remain subject to their original licence terms.

Third-party services

Projects may rely on third-party platforms or services such as hosting providers, domain registrars, payment gateways, analytics tools, advertising platforms, plugins, fonts, or stock assets. Their availability, pricing, policies, and performance are controlled by their respective providers.

DigiBangali is not responsible for outages, policy changes, account restrictions, or other actions caused by third-party providers.

Revisions, delays, and cancellation

Included revision rounds will be stated in the project scope. Additional revisions or changes after approval may be quoted separately. If a project is paused because required client input is not received, delivery dates may be rescheduled.

If a project is cancelled, payment remains due for work completed and costs committed up to the cancellation date. Advance payments are non-refundable once work has begun unless otherwise agreed in writing.

Warranties and limitation of liability

We aim to provide professional, reliable work, but we do not guarantee specific commercial outcomes, rankings, sales, leads, advertising results, or uninterrupted operation of third-party services.

To the maximum extent permitted by applicable law, DigiBangali will not be liable for indirect, incidental, special, or consequential losses. Our total liability relating to a project will not exceed the amount paid to DigiBangali for the specific service giving rise to the claim.

Governing law and disputes

These terms are governed by the laws of India. The parties will first attempt to resolve any concern through good-faith discussion. If a dispute cannot be resolved informally, it will be subject to the jurisdiction of the competent courts in West Bengal, India, unless another arrangement is agreed in writing.

Updates to these terms

We may update these Terms and Conditions when our services, business practices, or legal obligations change. The latest version will be published on this page with its updated effective date. Continued use of the website after an update constitutes acceptance of the revised terms.
